In family groups the person whose name appears in a rich list, or who runs the operating company as CEO, is often not the person who holds voting control, who can block a sale, or who must keep titles under a Dutreil-style conservation engagement. Ownership and operational power can sit in different chairs, sometimes by design, sometimes by drift. This note is educational, not a succession opinion. Transmission, voting rights, and board seats depend on facts, the articles, and counsel in each jurisdiction.<\/p>\n<p>This article does not recap any 2026 list of \u201cmost powerful wealthy women,\u201d does not rank billionaires, and does not use those names as a proxy for control. The useful questions are quieter: who owns, who votes, who directs, who is locked into a conservation pact, and who can be removed. Families who confuse celebrity operational power with title control discover the difference at a gift, a death, a divorce, or an audit.<\/p>\n<h2>Ownership versus operational power in the family chart<\/h2>\n<p>Ownership is a stack of economic rights and voting rights. Operational power is the ability to hire, fire, set strategy, and sign. In a listed company those stacks are partly public. In a family holding they are private, split across ordinary shares, preferred shares, usufruct and bare ownership, holding companies, and shareholders\u2019 agreements. A daughter who is CEO of the operating company may have no blocking minority upstairs. A sister who never appears in the press may hold the votes that decide a sale, a dividend, or a new debt.<\/p>\n<p>The reverse is also common. A widow or a daughter holds a majority of the capital after a transmission, yet day-to-day power sits with a professional CEO, a brother, or a historical director whose mandate was never rewritten. Capital without information rights is a silent partner. Information without votes is a spectator. The January governance pack should record both, with dates, not with adjectives.<\/p>\n<h2>Voting, holdings, and who actually decides<\/h2>\n<p>French and European family charts often concentrate control in a holding that is described as \u201cthe family company.\u201d The question is who controls the holding. Percentage of capital and percentage of votes can diverge: double-voting shares, non-voting preferred, and concert agreements change the map. Beneficial-ownership registers capture a layer that banks already ask for. They do not capture who can actually pass a resolution. That lives in the articles, the pact, and the minutes.<\/p>\n<p>Cross-border families add a second map. A trust, a foundation, or a foreign HoldCo may be the economic owner while a French operating company still needs French corporate formalities. The <a href=\"https:\/\/www.oecd.org\/en\/topics\/policy-issues\/corporate-governance.html\" target=\"_blank\" rel=\"noopener\">OECD work on corporate governance<\/a> is written for listed issuers as much as for private groups, yet the principles travel: clear allocation of rights, boards that can supervise, and disclosure that insiders can actually use. A family constitution that is framed on the wall but never cited in a vote is moral language. It is not a control document.<\/p>\n<h2>Dutreil-style control is not a CEO title<\/h2>\n<p>In France, the pacte Dutreil is a transmission regime, not a leadership prize. Article 787 B of the CGI provides, under conditions, a 75% exemption of the value of eligible titles from gift or inheritance duties. Among the usual conditions: a collective (or unilateral) conservation engagement on a minimum of financial rights and voting rights, an individual conservation engagement by each beneficiary, a management or principal-activity function for a defined period, and an eligible industrial, commercial, craft, agricultural, or professional activity. Passive management of the family\u2019s own securities or real-estate portfolio is not that activity. An SCI whose object is patrimonial management is the usual exclusion.<\/p>\n<p>Two control facts follow. First, the people who must keep the titles are not always the people who run the plant. A daughter who is CEO may not be the signatory of the collective engagement. A daughter who is a signatory may not be the dirigeante named for the three-year function. Mixing those roles in a family story is how files fail later. Second, a holding is eligible only if it is, in substance, an animating holding: it conducts group policy, controls operating subsidiaries, and can prove that animation. A holding that is a portfolio of titles with a family name on the door is not automatically Dutreil. Animation is minutes, services, budgets, and control, not a label.<\/p>\n<h3>Boards, family councils, and the removable CEO<\/h3>\n<p>Operational power that is not written into the articles can be removed. A CEO mandate is a corporate office. Ownership is not. Families who give a daughter the operational job as a substitute for titles, or who give titles without a path to the board, are building two clocks that will collide. The board of the operating company, the board of the holding, and the family council (if it exists) should have named jobs: strategy, related-party deals, dividend policy, and appointment of directors. If the only woman in the room is there as a communications or CSR director, that is not ownership power and it is not operational power. It is a seating plan.<\/p>\n<h2>Liquidity, equalization, and the silent partner<\/h2>\n<p>Transmission often equalizes siblings in economic value while concentrating votes in the child who \u201cruns the firm.\u201d Pref shares, vendor notes, life insurance, and cash from a recapitalisation are the usual tools. They can be fair. They can also lock a sister into a silent economic interest with no board seat and no information rights, while the operational sibling extracts cash through compensation and related-party leases. The file is the shareholders\u2019 agreement: information, tag and drag, valuation method, and what happens on divorce or death of a spouse who is not in the pact.<\/p>\n<p>The succession map and the governance map should be read together. Cross-border forced heirship and a French Dutreil engagement are not the same instrument. A spouse who is not in the pact can still move titles if the marital property regime treats those shares as common, or if a gift was never ring-fenced. The January (and mid-year) pack should name the regime for each adult, the date of any marriage contract, and whether a foreign couple\u2019s property law will be recognised at a French or other European notaire\u2019s desk. Operational power does not survive that collision. A CEO title does not either. Votes that sit in a joint estate without a written conservation path are not \u201cfamily control.\u201d They are an unplanned transfer waiting for a death or a divorce.<\/p>\n<p>Information rights are the cheap half of operational power that silent partners are often denied. A sister who holds preferred shares without board minutes, without management accounts, and without a right to inspect related-party leases is not a co-owner in any useful sense. The shareholders\u2019 agreement should state what is sent, to whom, and on what clock: annual accounts, related-party schedule, dividend proposal, and any Dutreil or equivalent conservation status. If those papers exist only in the CEO\u2019s inbox, ownership is a story. Animation proof for a holding follows the same logic. Minutes, intra-group services, budgets, and actual control of subsidiaries are what a later audit or a later bank will ask for. A family name on the holding\u2019s door is not that proof. Neither is a press profile of a woman who \u201cruns the group\u201d while the animation file is empty.<\/p>\n<p>Boards close the loop. Who appoints, who removes, and whether a family council can instruct the holding board should be written, dated, and consistent with the articles. A seating plan that puts a daughter in communications while votes sit elsewhere is neither ownership nor operational power. A seating plan that puts her in the CEO chair without titles upstairs is operational power that can be withdrawn. The useful 2026 file measures both, then measures whether a conservation engagement, a shareholders\u2019 pact, and a matrimonial regime can undo the chart overnight.<\/p>\n<h2>What a 2026 governance file should measure<\/h2>\n<p>Measure votes, not headlines. List each adult: capital %, votes %, board seats, management mandates, Dutreil or equivalent conservation status, information rights, and liquidity rights. Date the list. Record who can appoint and remove directors. Record whether a spouse\u2019s matrimonial regime can move titles without a family decision. Record whether the holding\u2019s animation file would survive a request for documents. None of that requires a global ranking of wealthy women. Dutreil-style control is a titled, dated set of conservation and management conditions, not a leadership story. Boards that can appoint and remove, and agreements that give information and liquidity to silent partners, decide whether capital is real.
